PREAMBLE
WHEREAS Zarastays maintains the Website for the purposes of describing its advisory, curation, recommendation and facilitation services, and of presenting information concerning venues, properties and suppliers;
AND WHEREAS much of the information so presented originates with independent third parties and is liable to variation without notice;
AND WHEREAS it is expedient that the basis upon which the Website is made available, and the limits of the obligations assumed by Zarastays in respect thereof, be recorded in writing;
NOW THEREFORE this Disclaimer and these Terms of Use are set out as under.
1. DEFINITIONS AND INTERPRETATION
1.1 Definitions. In these Terms, save where the context otherwise requires:
1.1.1 "Applicable Law" means all statutes, enactments, ordinances, rules, regulations, notifications, guidelines, circulars, directions, judgments, decrees and orders of any court, tribunal or competent authority, as in force from time to time in the Republic of India, and, where and to the extent that any other jurisdiction's mandatory law applies to a User by reason of that User's residence, such mandatory law;
1.1.2 "Content" means all text, images, photographs, videos, graphics, descriptions, particulars, figures, listings and other material appearing upon the Website, whether originating with Zarastays or with any third party;
1.1.3 "Supplier" means any venue, hotel, resort, caterer, planner, decorator, entertainer, transport provider, production house or other vendor, being in each case an independent third party;
1.1.4 "User", "you" and "your" mean any person accessing or using the Website;
1.1.5 "Website" means the digital properties situated at zarastays.com, plan.zarastays.com and partner.zarastays.com, together with all sub-domains, pages and facilities comprised therein;
1.1.6 "Zarastays", "we", "us" and "our" mean the hospitality and events advisory practice carrying on business under that name, having its principal place of business situated within Delhi, National Capital Region, India.
1.2 Interpretation. In these Terms, unless the context otherwise requires:
1.2.1 the singular includes the plural and vice versa, and words importing any gender include every gender;
1.2.2 the expressions "including", "includes" and "in particular" shall be construed as being by way of illustration or emphasis only and shall not limit the generality of any preceding words;
1.2.3 any reference to a statute includes that statute as from time to time amended, extended, consolidated or re-enacted;
1.2.4 headings and clause captions are for convenience of reference only and shall not affect construction; and
1.2.5 these Terms shall be construed in accordance with the substantive law of the Republic of India, and established principles of the common law shall be applied in aid of construction only insofar as, and to the extent that, the same are not inconsistent with or repugnant to Applicable Law of the Republic of India, whose provisions shall in every case prevail.
2. SCOPE, ACCEPTANCE AND PRECEDENCE
2.1 The Website is owned and operated by Zarastays. By accessing or using the Website, the User accepts this Disclaimer and these Terms of Use.
2.2 No relationship created by browsing. The mere accessing or browsing of the Website does not create, and shall not be construed as creating, any contract, engagement, retainer, booking, advisory relationship, agency or duty of care as between the User and Zarastays.
2.3 Precedence. Where a User submits a planning brief, the Customer Terms of Engagement of Zarastays shall additionally apply. Where a User submits a partner enquiry, the Partner and Supplier Submission Terms of Zarastays shall additionally apply. In the event of any conflict between this instrument and either of the said documents, the said documents shall prevail in respect of that submission, and this instrument shall continue to govern all other use of the Website.
3. THE ROLE OF Zarastays
3.1 Zarastays is a hospitality and events advisory practice. It identifies, curates, compares and recommends venues and Suppliers, and facilitates enquiries, quotations and introductions.
3.2 Save where Zarastays has expressly agreed otherwise in writing, Zarastays does not own, operate or manage any venue, does not itself provide accommodation, catering, décor, entertainment, production or transport, and does not execute events.
3.3 Where a User proceeds with any Supplier, the User contracts directly with that Supplier, which remains solely responsible for its own service, quality, safety, staffing, licensing, regulatory compliance and cancellation and refund terms. Zarastays is not a party to that contract.
4. CONTENT: ABSENCE OF WARRANTY
4.1 Content concerning venues, properties, capacities, amenities, menus, room types, availability and pricing is furnished for general guidance only. A substantial portion of such Content originates with third parties, is furnished by them, and is liable to variation without notice.
4.2 Photographs and videos appearing upon the Website may be representative in character and may not depict the specific room, space, configuration or condition available upon any particular date.
4.3 Any price, planning range or budget band appearing upon the Website is indicative only, is founded upon prevailing market rates, and does not constitute a quotation or an offer capable of acceptance. No price shall become binding save upon written confirmation by the relevant Supplier.
4.4 Zarastays takes reasonable care in the compilation of the Content but does not warrant, represent or undertake that the same is complete, current, accurate or free from error. The User shall verify any matter of materiality before placing reliance thereupon.
4.5 The Website and all Content are made available upon an "as is" and "as available" basis, and, to the fullest extent permitted by Applicable Law, all warranties, conditions, terms and representations, whether express or implied by statute, common law or otherwise, are hereby excluded.
5. STATEMENTS CONCERNING THE SERVICES OF Zarastays
5.1 Certain statements upon the Website describe the approach and standards of Zarastays in general terms. Such statements are descriptive and aspirational in character and do not constitute contractual guarantees of outcome.
5.2 Where Zarastays describes sourcing at competitive or favourable pricing, such description denotes that Zarastays sources and compares such quotations as are available to it. The same does not constitute, and shall not be construed as, a guarantee that the price so obtained is the lowest price available in the market.
5.3 Meaning of "reviewed", "checked" and "verified". Where Zarastays describes a property, Supplier or partner as reviewed, checked or verified, such description denotes that Zarastays has applied its own standards and parameters directed to ascertaining the existence and operational status of the Supplier and to examining past customer reviews and testimonials not older than one hundred and twenty (120) days reckoned from the time of onboarding and listing upon the Website, and that Zarastays routinely communicates with the property in advance of arranging any client visit for the purpose of a show-around. Specifically:
5.3.1 in respect of every Supplier, Zarastays has reviewed the information supplied by the partner and has remotely verified and confirmed the licences and capacity stated by such partner; and
5.3.2 in respect only of properties situated within Delhi and the National Capital Region, a member of Zarastays' team has physically visited the property.
5.4 Nothing contained in Clause 5.3 constitutes a warranty as to the ongoing condition, safety, licensing or performance of any Supplier, nor a representation that any inspection has been undertaken at any time subsequent to onboarding.
6. NO PROFESSIONAL ADVICE
6.1 Nothing appearing upon the Website constitutes legal, tax, financial, insurance, architectural, engineering, structural, regulatory or medical advice, and none of it shall be relied upon as such. The User shall obtain independent professional advice where any decision so requires.
7. INTELLECTUAL PROPERTY
7.1 The name "Zarastays", the logo, the design, layout, structure and appearance of the Website, and all text, photography, video, graphics, compilations, databases and underlying software comprised therein, are owned by or licensed to Zarastays and are protected by the Copyright Act, 1957, the Trade Marks Act, 1999 and other Applicable Law.
7.2 The User may view and print pages of the Website for the User's own personal and non-commercial use. The User shall not otherwise copy, reproduce, republish, transmit, distribute, adapt, translate, frame, scrape, data-mine, text-mine, harvest or commercially exploit any part of the Website or the Content without the prior written permission of Zarastays.
7.3 Third-party names, logos and trade marks appearing upon the Website remain the property of their respective proprietors and are employed for purposes of identification only. No endorsement or association is thereby implied beyond such review as Zarastays has in fact undertaken.
8. THIRD-PARTY LINKS
8.1 The Website contains links to digital properties operated by third parties, including venues, hotels, Suppliers, booking platforms, payment processors and social media services.
8.2 Zarastays exercises no control over such properties, does not endorse them beyond such review as it has in fact undertaken, and assumes no responsibility whatsoever for their content, accuracy, security, availability, terms, pricing or privacy practices. The User accesses the same entirely at the User's own risk.
8.3 The presence of a link does not constitute a representation that Zarastays has examined, approved or verified the linked property or its operator.
9. REVIEWS AND TESTIMONIALS
9.1 Reviews, testimonials and partner descriptions published upon the Website reflect the experience of the person by whom they were furnished, are published with that person's permission, and do not constitute a prediction or assurance of the outcome which any other User may experience.
9.2 Zarastays does not publish fabricated reviews, and does not remove genuine feedback by reason only that the same is unfavourable.
10. AVAILABILITY, SECURITY AND PERMITTED USE
10.1 Zarastays does not warrant that access to the Website shall be uninterrupted, timely, secure or free from error, nor that the Website or the server making it available shall be free from viruses or other harmful components.
10.2 Zarastays may at any time, without notice and without liability, suspend, withdraw, restrict or amend the whole or any part of the Website for reasons of maintenance, security, commercial expediency or otherwise.
10.3 The User shall not misuse the Website, and in particular shall not: introduce any virus, trojan, worm, logic bomb or other malicious code; attempt to gain unauthorised access to the Website, the server upon which it is stored, or any connected server, computer or database; attack the Website by means of any denial-of-service attack; or interfere with the proper working of the Website. Any breach of this Clause may constitute an offence under the Information Technology Act, 2000 and shall be reported accordingly.
11. COOKIES AND PERSONAL DATA
11.1 Zarastays employs cookies and similar technologies as more particularly described in its Cookie Notice. Where consent is required by Applicable Law, analytics and marketing technologies are loaded only upon such consent being given.
11.2 Personal data is processed as more particularly described in the Privacy Policy of Zarastays, which forms an integral part of this instrument.
11.3 Acceptance of this Disclaimer does not constitute consent to marketing communications. Such consent is solicited separately and may be withdrawn at any time by written communication addressed to info@zarastays.com.
11.4 The Website is not directed at persons below the age of eighteen (18) years.
12. LIMITATION OF LIABILITY
12.1 To the fullest extent permitted by Applicable Law, Zarastays shall not be liable to any User, whether in contract, tort (including negligence), breach of statutory duty, restitution or otherwise, for any loss or damage, whether direct or indirect, arising out of or in connection with:
12.1.1 the use of, or inability to use, the Website;
12.1.2 reliance placed upon any Content, including any Content originating with a third party;
12.1.3 any inaccuracy, incompleteness, omission or error in any Content;
12.1.4 any downtime, interruption, technical failure, transmission error, malware, virus or cyber incident;
12.1.5 any unauthorised access to or alteration of transmissions or data;
12.1.6 the content, conduct, security or availability of any linked third-party property; and
12.1.7 the acts, omissions, default or non-performance of any Supplier.
12.2 To the fullest extent permitted by Applicable Law, Zarastays shall not be liable for any indirect, special, incidental, punitive or consequential loss, nor for any loss of profit, revenue, business, opportunity, goodwill, data or anticipated savings, howsoever arising and whether or not foreseeable.
12.3 Mandatory law preserved. Notwithstanding anything to the contrary contained in this instrument, nothing herein shall operate to exclude, restrict or limit any liability which cannot lawfully be excluded, restricted or limited. Without prejudice to the generality of the foregoing, this includes liability for death or personal injury caused by the negligence of Zarastays, liability for fraud or fraudulent misrepresentation, and the rights and remedies available to a consumer under the Consumer Protection Act, 2019, which rights and remedies are in no manner affected, abridged or derogated from hereby.
12.4 For the avoidance of doubt, nothing in this Clause 12 purports to exclude, restrict or limit the jurisdiction, powers or remedies of the Central Consumer Protection Authority or of any other statutory or regulatory authority, no such exclusion being capable of being effected by contract.
13. GRIEVANCES
13.1 Any grievance concerning the Website or its Content may be addressed to Zarastays at info@zarastays.com or at its principal place of business. Zarastays shall acknowledge receipt within sixty (60) hours and shall respond substantively within fifteen (15) working days.
14. GOVERNING LAW AND JURISDICTION
14.1 This instrument and any dispute or claim arising out of or in connection therewith, whether contractual or non-contractual, shall be governed by and construed in accordance with the laws of the Republic of India, and the courts at Gurugram, Haryana shall have jurisdiction.
14.2 Where the User is a consumer, Clause 14.1 shall not deprive the User of the protection afforded by any mandatory provision of the law of the User's country of residence, nor of the right to approach the District, State or National Consumer Disputes Redressal Commission having jurisdiction under the Consumer Protection Act, 2019.
15. VARIATION AND GENERAL
15.1 Variation. Zarastays may from time to time update this instrument. The version published as at the date of use shall govern that use.
15.2 Severability. If any provision hereof is held invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect, and such provision shall be applied to the maximum extent permitted by Applicable Law.
15.3 No waiver. No failure or delay by Zarastays in exercising any right or remedy shall operate as a waiver thereof.
15.4 Assignment. Zarastays may assign or transfer its rights and obligations hereunder, whether in connection with any restructuring, merger, acquisition or sale of business or otherwise.
