PREAMBLE
WHEREAS Zarastays carries on the business of hospitality and events advisory, curation, recommendation and facilitation;
AND WHEREAS the Client proposes to submit a planning brief through the digital facility situated at plan.zarastays.com for the purpose of obtaining such advisory, curation, recommendation and facilitation services;
AND WHEREAS the parties are desirous of recording, in writing and in advance of the submission of any such brief, the terms upon which such services are offered, the allocation of responsibility as between Zarastays, the Client and any independent third-party supplier, and the limits of the obligations assumed by Zarastays;
NOW THEREFORE these Customer Terms of Engagement are set out as under, and the Client, by the act of affirmative acceptance described in Clause 3.2 hereof, agrees to be bound by the same.
1. DEFINITIONS AND INTERPRETATION
1.1 Definitions. In these Terms, save where the context otherwise requires, the following expressions shall bear the meanings respectively assigned to them hereunder:
1.1.1 "Applicable Law" means all statutes, enactments, ordinances, rules, regulations, notifications, guidelines, circulars, directions, judgments, decrees and orders of any court, tribunal or competent authority, as in force from time to time in the Republic of India, and, where and to the extent that any other jurisdiction's mandatory law applies to the Client by reason of the Client's residence or the place of performance, such mandatory law;
1.1.2 "Brief" means the planning enquiry, together with all responses, particulars, requirements and information furnished by the Client, submitted or partially submitted through the Platform;
1.1.3 "Client", "you" and "your" mean the natural or juristic person submitting a Brief and, where applicable, engaging Zarastays in respect thereof;
1.1.4 "Engagement" means the particular instance of provision of the Services arising out of or in connection with a Brief;
1.1.5 "Platform" means the digital facility situated at plan.zarastays.com, together with such other digital properties of Zarastays as may from time to time link thereto;
1.1.6 "Services" has the meaning ascribed thereto in Clause 4.1;
1.1.7 "Separate Written Engagement" means any agreement, engagement letter, statement of work, scope note or addendum executed in writing between Zarastays and the Client;
1.1.8 "Supplier" means any venue, hotel, resort, caterer, planner, decorator, entertainer, transport provider, production house or other vendor, being in each case an independent third party, whether or not identified, introduced, curated, shortlisted or recommended by Zarastays;
1.1.9 "Zarastays", "we", "us" and "our" mean the hospitality and events advisory practice carrying on business under that name, having its principal place of business situated within Delhi, National Capital Region, India.
1.2 Interpretation. In these Terms, unless the context otherwise requires:
1.2.1 the singular includes the plural and vice versa, and words importing any gender include every gender;
1.2.2 the expressions "including", "includes" and "in particular" shall be construed as being by way of illustration or emphasis only and shall not be construed as, nor shall they take effect as, limiting the generality of any preceding words;
1.2.3 any reference to a statute or statutory provision includes a reference to that statute or provision as from time to time amended, extended, consolidated or re-enacted;
1.2.4 headings and clause captions are inserted for convenience of reference only and shall not affect the construction of these Terms;
1.2.5 any reference to writing includes electronic communication capable of being retained and reproduced; and
1.2.6 these Terms shall be construed in accordance with the substantive law of the Republic of India, and established principles of the common law shall be applied in aid of construction only insofar as, and to the extent that, the same are not inconsistent with or repugnant to Applicable Law of the Republic of India, whose provisions shall in every case prevail.
2. STATUS AND CHARACTER OF Zarastays
2.1 Zarastays is, and at all material times holds itself out as being, an advisor, curator, recommender and facilitator, and is not the principal supplier, seller or provider of the underlying hospitality, venue, accommodation, catering, décor, entertainment, production, transport or other operational services to which a Brief may relate.
2.2 The provisions of Clause 2.1 shall not apply in respect of any particular service where Zarastays has expressly and in writing agreed to contract as principal, in which event that service shall be governed by such Separate Written Engagement as may then be executed.
3. APPLICABILITY, SCOPE AND ACCEPTANCE
3.1 Applicability. These Terms govern (a) the submission of a Brief through the Platform, and (b) all advisory or facilitation work undertaken by Zarastays which corresponds to, and is related to, the responses and requirements comprised in such Brief, and no other.
3.2 Acceptance. By ticking the acceptance box and submitting a Brief, the Client acknowledges and confirms that the Client has been afforded a reasonable opportunity to read and consider these Terms in their entirety, and agrees to be bound by the same. Such affirmative act shall constitute unambiguous assent for the purposes of Section 10A of the Information Technology Act, 2000 read with the Indian Contract Act, 1872.
3.3 Matters falling outside scope. Where the Client requires services or arrangements falling outside the scope of the responses and requirements comprised in the Brief, the same shall be the subject of a Separate Written Engagement.
3.4 Order of precedence. In the event of any conflict or inconsistency between these Terms and a Separate Written Engagement, the Separate Written Engagement shall prevail, but only to the extent of the subject-matter expressly dealt with therein and only for so long as the same subsists. In the absence of any such Separate Written Engagement, or in respect of any matter not expressly dealt with therein, these Terms shall govern and shall remain in full force and effect.
4. SCOPE OF SERVICES
4.1 Save where additionally and expressly agreed in writing, the services rendered by Zarastays (the "Services") consist of, and are limited to, recommendation, advisory, curation and facilitation work, the scope of Zarastays' involvement being confined to connecting the Client with such Suppliers as are, in Zarastays' assessment, most closely aligned with the Client's stated requirements.
4.2 Depending upon the instructions of the Client, the Services may include: identifying potentially suitable venues and Suppliers; curating and comparing options; preparing shortlists; furnishing planning advice; facilitating enquiries and quotations; introducing the Client to Suppliers; assisting in negotiation; and coordinating the exchange of information as between the Client and any Supplier.
4.3 Zarastays shall use reasonable endeavours to render the agreed Services with reasonable care and skill.
5. EXCLUSIONS FROM SCOPE
5.1 Save where Zarastays has expressly agreed otherwise by a separate signed writing, Zarastays does not:
5.1.1 own, operate or manage any venue;
5.1.2 itself, acting alone or as principal, provide accommodation, catering, décor, entertainment, production or transport;
5.1.3 employ or supervise the personnel of any Supplier;
5.1.4 control the operations, pricing, licensing or safety arrangements of any Supplier; or
5.1.5 physically execute the Client's event.
5.2 For the avoidance of doubt, and without prejudice to the generality of Clause 2.1, the making of a recommendation, the effecting of an introduction, or the preparation of a shortlist by Zarastays shall not, in any circumstance, constitute Zarastays the supplier, vendor or seller of the service so recommended, introduced or shortlisted.
6. CONTRACTUAL RELATIONSHIP WITH SUPPLIERS
6.1 Where the Client elects to proceed with any Supplier, the Client contracts directly with such Supplier. Zarastays is not, and shall not be deemed to be, a party to that contract, save where Zarastays has expressly stated in writing that it contracts as principal.
6.2 The Supplier is solely responsible for the delivery, quality, safety, staffing, facilities, licences, permits, regulatory compliance, availability and performance of its own services, and for its own cancellation and refund policy.
6.3 Prior to confirming any booking, the Client shall obtain from the Supplier a written confirmation identifying the Supplier, the service, the price, the inclusions and exclusions, the taxes, the payment schedule, the cancellation terms and the Supplier's own terms and conditions. Zarastays shall render reasonable assistance to the Client in obtaining such confirmation, provided always that the responsibility for reading, considering and accepting the same rests exclusively with the Client.
7. INDICATIVE FIGURES AND QUOTATIONS
7.1 Any figure communicated by Zarastays to the Client prior to written confirmation by a Supplier, including any planning range, budget band or indicative all-in cost, is indicative only, is founded upon prevailing market rates, and does not constitute a quotation or an offer capable of acceptance.
7.2 Supplier prices, availability and inclusions are liable to variation, and may be affected by dates, season, guest numbers, taxes, service charges, statutory levies and the policy of the Supplier concerned. No price shall become binding save upon written confirmation by the relevant Supplier.
8. REMUNERATION
8.1 Any advisory, coordination or management fee payable by the Client to Zarastays shall be communicated to the Client in writing through official correspondence only, and shall be agreed prior to the Client committing thereto. No fee whatsoever is charged for the submission of a requirement Brief.
8.2 Zarastays may additionally receive an intermediary platform fee from a Supplier in connection with a booking effected by the Client. It is hereby clarified that the receipt of any such fee does not increase the price communicated to the Client, nor the price payable by the Client to the Supplier.
8.3 All sums due to a Supplier are payable to that Supplier in accordance with the Supplier's own terms. Zarastays does not collect payments on behalf of any Supplier, save where Zarastays has notified the Client in writing and through official correspondence that it is doing so, and has identified the account of the Supplier on whose behalf such collection is effected.
9. ABSENCE OF GUARANTEE
9.1 Zarastays gives no guarantee, warranty or assurance, whether express or implied, that: any shortlisted venue shall be available; that any Supplier shall accept the Client's booking; that any date or price shall remain open; that any Supplier shall perform as anticipated; that the Client's event shall be free from disruption; or that any particular aesthetic, commercial or personal outcome shall be achieved.
9.2 Where Zarastays describes its sourcing as securing competitive or favourable pricing, such description means that Zarastays sources and compares such quotations as are available to it upon being engaged by the Client. The same does not constitute, and shall not be construed as, a guarantee that the price so obtained is the lowest price available in the market.
9.3 Meaning of "reviewed", "checked" and "verified". Where Zarastays describes a Supplier as reviewed, checked or verified, such description denotes that Zarastays has applied its own standards and parameters directed to ascertaining the existence and operational status of the Supplier and to examining past customer reviews and testimonials not older than one hundred and twenty (120) days reckoned from the time of onboarding and listing upon Zarastays' website, and that Zarastays routinely communicates with the property in advance of arranging any client visit for the purpose of a show-around. Specifically, and by way of clarification of the foregoing:
9.3.1 in respect of every Supplier, Zarastays has reviewed the information supplied by the partner and has remotely verified and confirmed the licences and capacity stated by such partner; and
9.3.2 in respect only of properties situated within Delhi and the National Capital Region, a member of Zarastays' team has physically visited the property.
9.4 Nothing in Clause 9.3 constitutes a warranty as to the ongoing condition, safety or performance of any Supplier.
10. OBLIGATIONS OF THE CLIENT
10.1 The Client shall furnish to Zarastays accurate information, including but not limited to information concerning the event, the dates, the guest numbers, the budget, and any dietary, religious and accessibility requirements, and shall promptly notify Zarastays of any change therein.
10.2 The Client shall be responsible for: reviewing all quotations, inclusions, exclusions and Supplier terms prior to confirmation; obtaining such visas, permits and travel documentation as the Client and the Client's guests may require; and ensuring that the Client and the Client's guests comply with venue and Supplier rules, societal sensitivities, social modesty, local customs and norms, and all Applicable Law of the place of performance.
11. PERSONAL DATA
11.1 Zarastays processes the personal data comprised in a Brief for the purposes of preparing and discussing a shortlist and of communicating with the Client in respect of the enquiry. The Privacy Policy of Zarastays explains such processing in full and forms an integral part of these Terms.
11.2 Partial submissions. Where the Client completes the contact step and thereafter departs from the Platform without submitting, Zarastays may retain the responses furnished up to that point in order that a member of its team may follow up with the Client.
11.3 Internal assessment. Zarastays applies internal scoring and categorisation to Briefs for the purposes of routing and prioritisation. Such scoring and categorisation does not determine the advice rendered to the Client, and no decision producing legal effects in relation to the Client is taken by automated means alone.
11.4 Sharing with Suppliers. Zarastays does not transmit the Client's contact particulars to any Supplier save upon the Client's instruction. Zarastays may approach a Supplier with the requirements comprised in the Brief upon an unnamed basis for the purpose of ascertaining availability and pricing.
11.5 Retention. Zarastays retains the Brief and related correspondence for a period of three (3) years reckoned from the date of its last interaction with the Client, and for such longer period as may be necessary where a claim subsists or where tax, accounting or other law so requires.
11.6 Acceptance of these Terms does not constitute consent to marketing communications. Such consent is solicited separately and may be withdrawn at any time by written communication addressed to info@zarastays.com.
12. LIABILITY
12.1 Zarastays shall use reasonable endeavours to perform its agreed Services with reasonable care and skill.
12.2 No responsibility for Suppliers. To the fullest extent permitted by Applicable Law, Zarastays shall not be liable for any act, omission, negligence, misconduct, breach, delay, cancellation, insolvency, licensing failure, safety failure or non-performance on the part of any Supplier, nor for the condition of any venue, accommodation, food, beverage, décor, entertainment, transport or other service furnished by a Supplier. The Client's remedy in respect of all such matters lies solely against the Supplier concerned.
12.3 Limitation of Zarastays' own liability. Where Zarastays is found liable in respect of a failure in its own advisory or recommendation services, the total aggregate liability of Zarastays arising out of or in connection with an Engagement shall not exceed the total advisory or consultation fees actually received by Zarastays from the Client in respect of that Engagement, less any Supplier or venue partner payments and less any operational costs already incurred by, or accrued due from, Zarastays as at that date.
12.4 To the fullest extent permitted by Applicable Law, Zarastays shall not be liable for any indirect or consequential loss, nor for any loss of profit, revenue, opportunity, goodwill or anticipated savings.
12.5 Force majeure. Zarastays shall not be liable for any failure or delay occasioned by events beyond its reasonable control, including but not limited to natural disasters, extreme weather, fire, flood, earthquake, epidemic or pandemic, geopolitical or socio-economic disruption, war, terrorism, civil unrest, governmental or regulatory action, strikes, transport disruption, failure of utilities, internet or cyber systems, or failure on the part of any Supplier.
12.6 Mandatory law preserved. Notwithstanding anything to the contrary contained in these Terms, nothing herein shall operate to exclude, restrict or limit any liability which cannot lawfully be excluded, restricted or limited. Without prejudice to the generality of the foregoing, this includes liability for death or personal injury howsoever caused, including but not limited to negligence; liability for fraud or fraudulent misrepresentation; and the rights and remedies available to the Client under the Consumer Protection Act, 2019, which rights and remedies are in no manner affected, abridged or derogated from by these Terms.
13. GRIEVANCES
13.1 The Client shall in the first instance address any concern to Zarastays at info@zarastays.com, at which address the team of Zarastays is contactable. Zarastays shall acknowledge receipt of such concern within sixty (60) hours of receipt thereof and shall respond substantively within fifteen (15) working days.
13.2 Any complaint concerning the service of a Supplier shall additionally be raised with that Supplier under the Supplier's own terms, marking a copy of such communication to Zarastays at the aforesaid address.
14. GOVERNING LAW AND DISPUTE RESOLUTION
14.1 These Terms and any dispute or claim arising out of or in connection therewith, whether contractual or non-contractual, shall be governed by and construed in accordance with the laws of the Republic of India. Subject to Clause 14.2, the courts at Gurugram, Haryana shall have jurisdiction.
14.2 Consumers. Where the Client is a consumer, nothing contained in these Terms shall preclude the Client from instituting a complaint before the District, State or National Consumer Disputes Redressal Commission having jurisdiction in the matter. It is expressly acknowledged that consumer disputes are not referable to arbitration.
14.3 Business users. Where the Client engages Zarastays in the course of business, any dispute arising out of or in connection with these Terms, including any question as to its existence, validity or termination, shall be referred to and finally resolved by arbitration by a sole arbitrator in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of such arbitration shall be Gurugram, Haryana, and the language of the proceedings shall be English.
15. VARIATION
15.1 Zarastays may from time to time update these Terms. The version in force as at the date of submission of a Brief shall govern the Engagement arising therefrom. Material changes affecting a subsisting Engagement shall be notified to the Client and shall not apply retrospectively without such notification having been given.
16. GENERAL
16.1 Severability. If any provision of these Terms is held to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect, and such provision shall apply to the maximum extent permitted by Applicable Law.
16.2 Assignment. Zarastays may transfer its rights and obligations hereunder in connection with any restructuring, merger or sale of business, without prejudice to the rights of the Client.
16.3 Nature of advice. The advisory work of Zarastays constitutes hospitality and event planning advice. It does not constitute legal, tax, financial, insurance, architectural, engineering or medical advice, and shall not be relied upon as such.
16.4 Minors. The Services are not directed at persons below the age of eighteen (18) years. Any such person is requested to procure that a parent or guardian communicates with Zarastays in his or her stead.
